Terms of Use

The agreement between you and QuiNVarium LLC for the use of the QuiNVarium messenger.

1. Who we are#

The QuiNVarium messenger (the "service") is provided by QuiNVarium LLC ("we", "us"), 1209 Mountain Road Pl NE, Ste N, Albuquerque, NM 87110, United States. The service consists of the QuiNVarium applications and the servers we operate at messenger.quinvarium.ai.

2. Acceptance#

By creating an account or using the service you agree to these terms; the application asks you to accept them before it creates an account. If you do not agree, do not use the service. These terms incorporate our Community Guidelines and our Child Safety Standards.

3. Eligibility#

You must be at least 18 years old to use the service. By using it you confirm that you are. If we learn that an account belongs to someone younger, we will close it.

4. Your account#

The service does not use telephone numbers. When you register, the application generates a recovery phrase on your device and we assign you a QuiNVarium number. You are responsible for keeping the recovery phrase and your device secure.

We do not hold your recovery phrase and cannot reset, reissue or recover it. If it is lost, the account cannot be recovered by us or by anyone else. We will never ask you for it.

5. Licence#

We grant you a personal, revocable, non-exclusive, non-transferable licence to use the application on devices you control, for your own communications. The application is licensed, not sold. The client is derived from open-source software licensed under the GNU Affero General Public License version 3; that licence governs the source code and is not limited by these terms. Our names, logos and brand are not licensed to you.

6. Acceptable use#

You may not use the service to break the law or to harm others. In particular you may not use it to send, request, store or share material that sexually exploits or endangers children; to threaten, harass, stalk or defame; to distribute malware or conduct phishing; to send bulk or unsolicited messages; to impersonate another person or organisation; or to infringe someone else's rights.

You may not attempt to gain unauthorised access to the service, interfere with its security, create accounts by automated means, or use the service through unofficial clients that misrepresent themselves as ours. The full list is in our Community Guidelines, which we may update without changing these terms.

We have zero tolerance for objectionable content and abusive users. An account used to send or publish such material, or to abuse other people, is suspended or terminated, without prior warning.

7. What we can and cannot moderate#

Message content is end-to-end encrypted and we cannot read it, so we do not monitor conversations and cannot filter their contents on our servers. Filtering happens in the application instead: a message from someone you have not accepted arrives as a message request, their photos and files are not downloaded and their profile picture is blurred until you accept, and you can delete or block the request without replying. What we can see and act on is the material that is necessarily visible to us — profile names, profile pictures, usernames, invite links and patterns of unsolicited contact — together with what you report to us.

You can block any account from inside the application and report it to us. Reports made in the application are counted by our servers, and an account reported by many different people is restricted automatically. Reports sent to abuse@quinvarium.ai or child-safety@quinvarium.ai are read by a person, and we aim to act on each of them within 24 hours. Where material or behaviour breaks these terms, we remove the material we host and suspend or terminate the account responsible. If you believe we acted wrongly, write to abuse@quinvarium.ai.

8. Not an emergency service#

The service cannot be used to call emergency services. It depends on your device, your internet connection and our servers, any of which can fail. Keep another way to reach help.

9. Third parties#

Notifications are delivered through Apple's push service, and the application is distributed through Apple's App Store and TestFlight. Their own terms apply to those parts. We are not responsible for services we do not operate.

10. Availability and changes#

We do not promise that the service will be available, uninterrupted or error-free, and we give no service level commitment. We may change, suspend, limit or discontinue any part of the service, and we may stop offering it entirely. Where we reasonably can, we will give notice.

11. Price#

The service is currently provided free of charge. If we introduce paid features, their price and conditions will be shown before you buy, and purchases made through the App Store are handled by Apple under Apple's terms.

12. Disclaimer#

To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or that the service will meet your requirements.

13. Limitation of liability#

We are not liable for indirect, incidental, special, consequential or punitive damages, nor for loss of data, profits, revenue, business or goodwill, arising out of or in connection with the service.

Our total aggregate liability arising out of or in connection with the service is limited to US$1. The service is provided free of charge; this limit reflects that.

Nothing in these terms limits or excludes liability for fraud, for wilful misconduct or gross negligence, for death or personal injury caused by negligence, or for anything else that cannot be limited or excluded under the law that applies to you. Some jurisdictions do not allow certain limitations, in which case the limitations above apply only to the extent permitted there.

14. Suspension and termination#

You may stop using the service at any time and delete your account from inside the application. We may suspend or terminate an account that breaches these terms, that is used to harm others, or where we are required to do so by law.

15. Governing law and disputes#

These terms are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. The state and federal courts located in Bernalillo County, New Mexico have exclusive jurisdiction, except that either party may seek injunctive relief where necessary. If you use the service as a consumer, the mandatory consumer protection law of your place of residence continues to apply and nothing here takes it away from you.

16. Export control#

You may not use the service in breach of export control or sanctions law, and you confirm that you are not subject to sanctions that would prohibit it.

17. Changes to these terms#

We may change these terms. We will publish the new version on this page with a new date, and where the change is material we will give notice in the application. If you do not accept a change, stop using the service and delete your account.

18. Apple#

For the iOS application: these terms are between you and us, not with Apple, and Apple is not responsible for the application or its contents. Apple has no obligation to provide support. In the event of a failure to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any; to the maximum extent permitted by law Apple has no other warranty obligation. We, not Apple, are responsible for addressing claims relating to the application, including product liability, legal compliance and intellectual property claims. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you.
